1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Artist", "Label", or "User") and Bollywood Music India Private Limited ("Company"). By accessing or using our digital music distribution services, you agree to be bound by these Terms.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have authority to bind such entity to these Terms.

2. Music Distribution Services

2.1 Distribution Rights

By submitting music through our platform, you grant Bollywood Music India a non-exclusive, worldwide license to distribute, reproduce, and make available your music content to DSP platforms including but not limited to Spotify, Apple Music, Amazon Music, JioSaavn, Gaana, and 40+ other platforms.

2.2 Content Requirements

• All submitted music must be original compositions or properly licensed covers
• You must own or control all rights to the submitted content
• Content must not infringe any third-party copyrights, trademarks, or rights
• Audio files must meet minimum technical quality standards (minimum 16-bit, 44.1kHz WAV)
• Artwork must be at minimum 3000x3000 pixels, in JPEG or PNG format

2.3 Prohibited Content

We do not distribute content that contains:

• Hate speech, discrimination, or content promoting violence
• Explicit sexual content without appropriate content warnings
• Defamatory statements about individuals or organizations
• Content that violates any applicable laws or regulations
• Unauthorized samples or interpolations of copyrighted material

3. Royalty Terms

3.1 Revenue Share

Bollywood Music India distributes royalties to artists and labels based on the agreed revenue share percentage outlined in your individual distribution agreement. Standard revenue share rates are communicated during onboarding and may vary by tier.

3.2 Payment Schedule

• Royalties are collected from DSP platforms on their respective payment cycles
• Payments are processed quarterly (January, April, July, October)
• Minimum payout threshold is ₹1,000 (or $15 USD equivalent)
• Payments are made within 30 days of the end of each quarter

3.3 Tax Obligations

All payments are subject to applicable Indian tax deductions (TDS) as per the Income Tax Act, 1961. International payments may be subject to withholding taxes as per applicable Double Taxation Avoidance Agreements (DTAA).

4. YouTube MCN Terms

For artists enrolled in our YouTube Multi-Channel Network (MCN) services:

• You grant us the right to register your music with YouTube's Content ID system
• We will manage monetization claims on your behalf
• Revenue from YouTube will be subject to the MCN revenue share agreement
• You retain ownership of your content at all times
• Either party may terminate MCN services with 30 days written notice

5. Artist Representations & Warranties

By using our services, you represent and warrant that:

• You are at least 18 years of age or have parental/guardian consent
• You own or have obtained all necessary rights to distribute the submitted content
• The content does not infringe any third-party intellectual property rights
• All songwriter, composer, and performer credits are accurate and complete
• You have obtained all necessary clearances for any samples used
• The content complies with all applicable laws and DSP platform policies

6. Intellectual Property

You retain full ownership of your music and intellectual property. The license granted to Bollywood Music India is solely for the purpose of providing distribution services and does not transfer ownership of your content.

Our platform, technology, branding, and proprietary tools remain the exclusive property of Bollywood Music India Private Limited.

7. Term and Termination

7.1 Term

This agreement begins when you register and continues until terminated by either party.

7.2 Termination

• You may terminate your account with 30 days written notice
• We may terminate your account for material breach of these Terms
• Upon termination, we will initiate removal of your content from DSP platforms within 30-60 days
• Any outstanding royalties will be paid within 90 days of termination

8. Limitation of Liability

To the maximum extent permitted by law, Bollywood Music India shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of revenue due to DSP platform policy changes
• Temporary unavailability of streaming platforms
• Delays in royalty payments caused by DSP platforms

9. Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

1. Negotiation: Parties will first attempt to resolve disputes amicably within 30 days.
2. Mediation: If negotiation fails, disputes will be submitted to mediation.
3. Arbitration: Unresolved disputes will be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996.
4. Jurisdiction: These Terms are governed by the laws of India. Courts in Jalpaiguri, West Bengal shall have exclusive jurisdiction.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email with 30 days notice. Continued use of our services after changes constitutes acceptance.
